The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: "Client", "You" and "Your" refers to you, the person log on this website and compliant to the Company’s terms and conditions. "The Company", "Ourselves", "We", "Our" and "Us", refers to our Company, Stratos Digital (Mohamed Sabri Ben Chaabane). "Party", "Parties", or "Us", refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing law of Tunisia. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Services

Stratos Digital provides web design, web development, copywriting, SEO, website maintenance, and related digital services as outlined on our website and in specific project proposals. All services are subject to the terms agreed upon in individual client contracts or statements of work, which will supersede these general terms where applicable.

Service descriptions and pricing tables (as provided in your prompt) such as for "Website Development Packages", "E-Commerce Development", "Web Application Development", "UI/UX Design", and "Maintenance & Add-ons" detail the scope and starting costs. Final pricing and deliverables will be confirmed after a discovery process and outlined in a formal proposal or contract.

Use of Website

You are permitted to use our website for your personal and business purposes to review our services and information. You must not misuse our website, including but not limited to, attempting to gain unauthorized access, introducing malicious material, or using it for any unlawful purpose.

Intellectual Property

Unless otherwise stated, Stratos Digital and/or its licensors own the intellectual property rights for all material on Stratos Digital created by us, including website design, text, graphics, logos, and code. For client projects, intellectual property rights for the final deliverables will be transferred to the Client upon full and final payment, as specified in the project contract. Stratos Digital may retain the right to showcase the work in its portfolio unless otherwise agreed in writing.

Any third-party materials, such as stock photos, fonts, or plugins, used in a project will be subject to their respective licenses, and the Client will be responsible for any ongoing licensing fees if applicable, which will be clearly communicated.

Payment Terms

Payment terms for services will be outlined in the project proposal or contract. Typically, this involves an upfront deposit (e.g., 50%) to commence work, with interim payments and a final payment upon completion and approval. For ongoing services like maintenance, payment is usually due monthly in advance.

Late payments may incur interest or a pause in service delivery. All prices are subject to change, but will be fixed for the duration of an agreed contract period.

Client Responsibilities

To ensure timely project completion, the Client agrees to provide all necessary information, content (text, images, etc.), and feedback in a timely manner as requested by Stratos Digital. Delays in providing these materials may impact project timelines.

The Client is responsible for ensuring that all materials provided do not infringe on any third-party copyrights or trademarks.

Revisions and Scope Creep

Our service packages generally include a specified number of revision rounds (e.g., "2 major + 1 minor round included"). Additional revisions or work requested that falls outside the originally agreed scope ("scope creep") may be subject to additional charges at our standard hourly rate (e.g., "$30/hour" for Extra Dev Hours), which will be communicated and agreed upon before commencement.

Confidentiality

Both Stratos Digital and the Client agree to keep confidential any proprietary or sensitive information shared during the course of a project, unless required by law or with prior written consent.

Limitation of Liability

Stratos Digital will perform services with reasonable skill and care. However, to the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our website and the use of this website and our services. Stratos Digital will not be liable for any indirect, special or consequential loss or damage, or any loss of business, profits, data, or goodwill arising out of or in connection with the services provided.

Our total liability to the Client in respect of all other losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total amount paid by the Client for the specific services under that contract.

Termination

Either party may terminate a service agreement if the other party commits a material breach of these terms or the project contract, and such breach is not remedied within a specified period (e.g., 14-30 days) after written notice. Specific termination clauses, including any applicable fees or refunds, will be detailed in individual project contracts.

For ongoing maintenance services, cancellation terms (e.g., 30 days' notice) will apply.

Governing Law & Jurisdiction

These terms and conditions will be governed by and construed in accordance with the laws of Tunisia, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of Tunis, Tunisia.

Changes to Terms

Stratos Digital reserves the right to revise these terms and conditions at any time. Revised terms will apply to the use of this website from the date of publication of the revised terms on this website. Please check this page regularly to ensure you are familiar with the current version.
